1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and ProsperIQ LLC (“ProsperIQ”), a Wyoming limited liability company, governing your access to and use of the ProsperIQ platform, including all features, tools, AI-powered services, and content (“Platform”).
By creating an account, subscribing, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and your use does not violate any applicable law.
3. Account Registration
To access the Platform's features, you must create an account. You agree to provide accurate, current, and complete information; keep your password confidential; notify us immediately of any unauthorized use at support@prosperiq.com; and accept responsibility for all activities under your account.
4. Subscriptions and Payments
4.1 Subscription Plans
ProsperIQ offers the following plans:
- Monthly Plan: $7.99 per month, billed monthly.
- Annual Plan: $59.99 per year, billed annually.
Both plans provide full access to all Platform features with no tier restrictions.
4.2 Billing and Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorize recurring charges to your payment method.
4.3 Free Tools
The Debt Snapshot Tool and other designated free tools are available without a paid subscription. We reserve the right to modify or discontinue free tools at any time.
4.4 Refunds
All subscription fees are non-refundable except where required by applicable law. If you cancel, you retain access through the end of your current billing period.
4.5 Failed Payments
If a payment fails, we may suspend your access until payment is resolved. We will notify you via email before suspension.
5. Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@prosperiq.com. Cancellation takes effect at the end of the current billing period.
6. Platform Use and Restrictions
6.1 License Grant
ProsperIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial financial wellness purposes.
6.2 Prohibited Uses
You agree not to:
- Use the Platform for unlawful purposes
- Attempt unauthorized access to systems or other accounts
- Reverse engineer or decompile any part of the Platform
- Scrape or use automated tools to extract data without permission
- Upload malware or malicious code
- Impersonate any person or entity
- Use the Platform to provide financial services to third parties commercially
- Share account access (except via the Accountability Partner feature)
- Interfere with Platform integrity or performance
7. AI Financial Coach — Important Disclaimers
Please read this section carefully before using any AI-powered features.
7.1 Not a Licensed Financial Advisor
ProsperIQ's AI Financial Coach, Financial Identity Score, Behavioral Spending Analysis, Debt Negotiation Assistant, and all AI-powered features are EDUCATIONAL AND INFORMATIONAL TOOLS ONLY. They do not constitute licensed financial, investment, tax, or legal advice; a fiduciary relationship; or a guarantee of any financial outcome.
ProsperIQ is NOT a registered investment advisor, broker-dealer, bank, credit counselor, or debt management company.
7.2 Your Responsibility
All financial decisions you make based on information from the Platform are made at your sole discretion and risk. Consult a licensed financial professional, credit counselor, or attorney before making significant financial decisions.
7.3 Accuracy of AI Outputs
AI-generated recommendations, scores, and projections are based on information you provide and algorithmic models. They may contain errors. ProsperIQ does not guarantee accuracy, completeness, or suitability of any AI-generated output for your specific situation.
8. Accountability Partner Feature
The Accountability Partner feature allows you to grant a designated individual read-only access to selected progress metrics. By using this feature, you consent to sharing the selected data with your designated partner, and acknowledge that ProsperIQ is not responsible for how your partner uses the information you choose to share.
Your Accountability Partner does not gain access to your login credentials, payment information, or any data beyond what you explicitly share.
9. Shareable Content and Milestone Cards
By sharing Debt Free Announcement Cards and other milestone cards, you grant ProsperIQ a non-exclusive, royalty-free license to display your shared milestone content anonymously in connection with Platform promotion. You acknowledge that once shared publicly, ProsperIQ cannot control further distribution.
10. Intellectual Property
All content, features, software, trademarks, and logos on the Platform are the property of ProsperIQ LLC or its licensors. Your subscription grants a limited license to use the Platform — it does not transfer any ownership of intellectual property to you.
11. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Your use of the Platform is at your sole risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ProsperIQ LLC and its officers, directors, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or financial losses, arising out of your use of or inability to use the Platform.
In no event shall ProsperIQ's total liability to you exceed the greater of (A) the amount you paid in the 12 months preceding the claim or (B) one hundred dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless ProsperIQ LLC and its affiliates, officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, violation of these Terms, or violation of any applicable law.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before initiating formal legal proceedings, contact us at legal@prosperiq.com and attempt to resolve the dispute informally for at least 30 days.
14.3 Binding Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding.
14.4 Class Action Waiver
You waive any right to participate in a class action lawsuit or class-wide arbitration against ProsperIQ.
15. Modifications and Termination
We reserve the right to modify, suspend, or discontinue any part of the Platform with reasonable notice. We may update these Terms at any time with at least 14 days' notice for material changes. We may suspend or terminate your account for violation of these Terms. Sections 7, 10, 11, 12, 13, and 14 survive termination.
